Stoel Rives’ LLC Law Monitor blog focuses on developments in the law of limited liability companies. LLCs are a popular form of legal entity for businesses – they provide the favorable tax treatment of a partnership with the limited liability protection of a corporation. LLCs are being used for a wide range of sizes and types of businesses, from sole proprietorships to large, multinational business entities. In many states more new LLCs than corporations are now being formed.
LLCs are a relatively new type of legal entity – novel legal questions about LLCs are being decided by state courts every month, and state LLC statutes vary quite a bit from state to state. The result is rapid development of this area of the law and more than a few conflicts between the states’ LLC laws.
We intend to highlight and discuss developments in the laws affecting LLCs, both in judicial decisions and in changes to state LLC statutes. This will be a journey of exploration, and we encourage a dialogue. Post your comments and join the dialogue.
